Subject matter of the Agreement

2.1. The Administration grants the User the right to use the Website under the terms of this Agreement: to view the information published on it, submit Requests and enquiries, and receive responses from the Administration.

2.2. This Agreement governs use of the Website and the procedure for submitting a Request. The terms of use of the Service (functionality, price, periods, obligations of the parties and service levels) are determined by a separate contract between the Administration and the customer. In the event of a conflict between this Agreement and that contract, the contract’s terms apply.

Acceptance of terms

3.1. Beginning to use the Website, including viewing its pages, submitting a Request or contacting the Administration using the contact details published on the Website, constitutes the User’s full and unconditional acceptance of the terms of this Agreement (acceptance of the offer) under Article 438, clause 3 of the Civil Code of the Russian Federation.

3.2. If the User disagrees with any term of this Agreement, the User must stop using the Website.

3.3. A User acting on behalf of an organisation confirms that they have the necessary authority to submit a Request and conduct negotiations on its behalf.

Use of the Website

4.1. The User may use the Website only for lawful purposes and in ways that do not infringe the rights of the Administration or third parties.

4.2. The User is prohibited from:

copying, reproducing, distributing or publishing Website materials without the Administration’s written permission, except as expressly permitted by this Agreement;

using automated means (parsers, bots or scripts) to collect information from the Website without the Administration’s consent;

taking actions intended to disrupt the Website’s operation or obtain unauthorised access to its components or data;

sending the Administration knowingly false information, spam, advertising or other messages unrelated to a business enquiry;

impersonating another person or an organisation’s representative without appropriate authority.

4.3. The Administration may restrict the User’s access to the Website for breach of this Agreement without prior notice.

4.4. The Website may contain links to third-party resources. The Administration does not control their content and is not responsible for them.

Demo request

5.1. When submitting a Request, the User provides their name, company name and work email address or phone number. The User undertakes to provide accurate and current information.

5.2. The Administration reviews the Request and contacts the User using the details provided, generally within one working day, to agree on the demonstration time and format.

5.3. A demonstration of the Service is provided free of charge online. The timing, format and use of the User’s materials are agreed separately. The Website’s interactive example contains fictional data and does not run AI analysis. Sending real documents for a demonstration is discussed with the Administration in accordance with the Privacy Policy.

5.4. Submitting a Request and holding a demonstration do not create obligations for the parties to enter into a contract for use of the Service. The Administration may decline to hold a demonstration without explaining its reasons, in particular if the Request is unrelated to business use of the Service.

Access to the Service

6.1. Access to the Service is provided under a contract entered into between the Administration and the customer. The terms of that contract, including price, payment procedure, scope of functionality, periods and service levels, are agreed separately by the parties.

6.2. Descriptions of the Service’s functionality on the Website are for information. The actual features available to a particular customer are determined by the contract.

6.3. Suppliers, documents, prices, delivery times and terms in the Website’s interactive example are fictional and explain the comparison logic. They do not constitute an offer or a recommendation for an actual purchase.

6.4. Analysis results and AI recommendations are supporting information. The User checks item comparability, prices, availability, delivery and payment terms against the source quotes and independently makes the final commercial decision.

Intellectual property

7.1. Exclusive rights to the Website, Service, their software code, design, texts, images, the buyora.ai trademark and designation, and other materials belong to the Administration or are used by it on lawful grounds.

7.2. The User may quote Website materials for informational purposes, with a link to the source (buyora.ai), to the extent justified by the purpose of the quotation.

7.3. Any other use of Website materials without the Administration’s written permission is prohibited.

7.4. By sending materials to the Administration (including supplier quotes for a demonstration), the User warrants that they have the right to transfer those materials and retain all rights to them. The Administration does not acquire rights to such materials.

Personal data

8.1. The User’s personal data is processed in accordance with Federal Law No. 152-FZ of 27.07.2006 “On Personal Data” and the Privacy Policy, which forms an integral part of this Agreement.

8.2. Enquiry data is processed to handle the enquiry, contact the User and arrange a demonstration on the grounds described in the Privacy Policy. When submitting the form, the User gives separate consent by selecting the corresponding box, including consent to deliver the enquiry to the Operator through Telegram.

Limitation of liability

9.1. The Website is provided “as is”. The Administration seeks to maintain the accuracy and currency of the information on the Website but does not guarantee that it is free of errors or inaccuracies, and may change Website content at any time without notice.

9.2. The Administration does not guarantee uninterrupted or error-free operation of the Website and is not liable for temporary unavailability of the Website for technical reasons, including reasons beyond the Administration’s control.

9.3. The Administration is not liable for the User’s losses arising from use of, or inability to use, the Website, including decisions made by the User on the basis of information published on the Website.

9.4. The User is solely responsible for the accuracy of information provided in a Request and for having authority to act on behalf of an organisation.

9.5. The limitations in this section apply to the maximum extent permitted by the legislation of the Russian Federation.

10.1. The Administration may unilaterally amend the terms of this Agreement. A new version takes effect when published on the Website, unless otherwise specified in that version. The date of the current version is given at the beginning of this document.

10.2. Continued use of the Website after changes are published constitutes the User’s agreement to the new version of this Agreement.

10.3. The User may stop using the Website at any time. This Agreement ceases to apply to the User when they stop using the Website, except for provisions that by their nature remain in effect (sections 7, 9, 11).

Applicable law and dispute resolution

11.1. This Agreement and the relationship between the User and the Administration are governed by the legislation of the Russian Federation.

11.2. The parties seek to resolve disputes arising from this Agreement through negotiation. A claim is sent to the Administration’s email address given in section 12; the response period is 15 working days from receipt.
